Group Home Listing Marketplace (the "Platform", "we", "us", or "our") operates an online marketplace that helps families, guardians, case managers, and prospective residents (collectively, "you", "User", or "Family") discover, tour, and initiate placement discussions with independent residential care operators ("Operators"). By creating an account, requesting a tour, sending a message, submitting a booking, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional posted policies. If you do not agree, you must not use the Platform.

The Platform is a listing and communication service. We do not own, operate, license, staff, manage, supervise, inspect, monitor, insure, or control any group home, assisted living residence, behavioral, IDD, foster, or recovery facility listed on the Platform. Operators are independent third parties solely responsible for their homes, personnel, care, medication administration, supervision, transportation, food, activities, security, licensure, insurance, and regulatory compliance.

We are not a healthcare provider, a residential care provider, a placement agency, a referral agency in a fiduciary capacity, a broker, an insurer, or an agent of any Operator. Listings, photos, pricing, availability, license status, ratings, services, amenities, staff ratios, and any other information about an Operator or a home are supplied by the Operator or third parties and are provided "AS IS" without warranty of any kind.

Before touring, communicating with, transferring funds to, or placing any person in the care of an Operator, you agree to conduct your own due diligence, including but not limited to: verifying state licensure and inspection history with the applicable regulator; confirming insurance coverage; interviewing staff; visiting the physical premises; reviewing the Operator's admission agreement, service plan, house rules, and pricing; verifying certifications; and obtaining independent legal, medical, financial, and clinical advice. You acknowledge that ratings, reviews, "Superhost" badges, or similar Platform features are informational signals only and are not endorsements, certifications, warranties, or clinical recommendations by the Platform.

You knowingly and voluntarily assume all risks arising out of or related to any tour of, communication with, admission to, residency at, or receipt of services from any Operator or home listed on the Platform. Residential care by its nature involves risks including, without limitation, falls, wandering, elopement, medication errors, choking, infection, illness, emotional distress, abuse, neglect, criminal acts, property loss, motor-vehicle incidents, and death. You accept these risks on behalf of yourself and, to the fullest extent permitted by law, on behalf of the person for whom you are seeking care, their estate, heirs, guardians, and personal representatives.

To the fullest extent permitted by applicable law, you fully, finally, and forever release, waive, discharge, hold harmless, and covenant not to sue the Platform, its parents, subsidiaries, affiliates, officers, directors, employees, agents, licensors, investors, and successors (collectively, the "Released Parties") from any and all claims, demands, damages, losses, causes of action, judgments, penalties, fines, liabilities, costs, and attorneys' fees of every kind and nature, whether known or unknown, foreseen or unforeseen, in law or in equity, that arise out of or relate in any way to any act, omission, negligence, gross negligence, misconduct, breach, injury, illness, wrongful death, elopement, abuse, neglect, theft, property damage, medication error, dietary event, infectious disease, or any other event that occurs at, before, during, or after a tour, application, placement, admission, or residency involving any Operator, home, staff member, contractor, or other resident.

This release includes, without limitation, any event that occurs after a person moves into or otherwise enters a home listed on the Platform, regardless of whether the Platform introduced you to the Operator. You expressly waive the benefit of any statute or rule (including California Civil Code § 1542 and any similar law of any other jurisdiction) providing that a general release does not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release.

The Platform and all content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that any Operator is licensed, insured, safe, appropriate, qualified, or suitable for any resident.

To the maximum extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or care outcomes, arising out of or related to your use of the Platform or any interaction with an Operator, even if advised of the possibility of such damages. The aggregate liability of the Released Parties for all claims relating to the Platform shall not exceed the greater of (a) one hundred U.S. dollars (US $100) or (b) the total fees you paid to the Platform in the twelve (12) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless the Released Parties from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of or related to: your use of the Platform; your interactions with any Operator or resident; your breach of these Terms; your violation of any law; or any content you submit to the Platform.

You must not transmit through the Platform any protected health information, sensitive personal information not necessary for a placement inquiry, defamatory statements, unlawful content, or content that violates any third party's rights. We may moderate, remove, or preserve content and cooperate with law enforcement as required.

When payments are processed through the Platform, you authorize the Platform and its payment processors to collect, hold, and remit funds subject to our then-current payment terms. Refunds, credits, and disputes are governed by the Operator's admission agreement and applicable law.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the State of Delaware, in the English language. You and we each waive any right to a jury trial and any right to participate in a class, collective, or representative action. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to Section 11, the state and federal courts located in Delaware shall have exclusive jurisdiction over any non-arbitrable matter.

If any provision is held unenforceable, the remaining provisions will remain in full force. Sections 2 through 12 survive termination. These Terms, together with policies referenced herein, constitute the entire agreement between you and the Platform regarding the subject matter and supersede all prior understandings.

BY CLICKING "I AGREE," REQUESTING A TOUR, SENDING A MESSAGE, OR OTHERWISE USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS, THAT YOU ACCEPT THE ASSUMPTION OF RISK AND RELEASE IN SECTIONS 4 AND 5, AND THAT YOU HAVE HAD THE OPPORTUNITY TO CONSULT INDEPENDENT LEGAL COUNSEL.
